Logistware Return & Refund Policy

This Policy governs all payments, subscriptions, and promotional offers for the Logistware platform.

Effective Date: January 11, 2025

This Return & Refund Policy (“Policy”) is a binding agreement between you (“User”) and
Logistware Technologies Inc. (“Logistware,” “we,” “our,” or “us”). By registering for, accessing, or using the
Logistware online platform (the “Platform” or “Services”), you acknowledge that you have read, understood, and agree to be bound by this Policy in full.
If you do not agree, you must immediately discontinue use of the Services.

1. Nature of Services

  • Service Scope: Logistware operates a digital marketplace (“load board”) connecting carriers, brokers, and shippers (collectively, “Users”). The Service is access to the Platform and its tools.
  • No Guaranteed Results: Logistware does not control or guarantee the availability, quantity, legality, or quality of any loads, carriers, or shippers listed. Market activity and user participation determine availability.
  • User Acknowledgment: Fees are paid for the opportunity to use the Platform. You are solely responsible for outcomes and results.

2. Final and Non-Refundable Payments

  • Fees Earned Upon Payment: All fees (subscription, membership, posting, premium features) are final and non-refundable once processed.
  • No Results-Based Refunds: No refunds or credits for dissatisfaction, inactivity, low load volume, or business outcomes. The Service is delivered upon granting access to the Platform.
  • Non-Transferable: Payments are account-specific and non-transferable. Cancellation or non-use does not entitle you to a refund.

3. Membership Cancellations

  • User-Initiated Cancellation: Cancel anytime via your account settings. Cancellation stops future renewals; it does not refund any prior or current billing period.
  • Recurring Payments: You are responsible for managing auto-renewals and payment authorizations. Logistware is not liable for charges resulting from failure to cancel.

4. Service Availability

  • “As Is” and “As Available”: While we strive for uninterrupted access, maintenance or technical issues may cause downtime.
  • No Service-Level Credits: Interruptions or outages do not justify refunds or credits. For assistance, contact info@logistware.ca.

5. Subscriptions & Automatic Renewals

  • Automatic Renewal: Plans renew automatically unless auto-renewal is disabled before the billing date.
  • No Prorations: Mid-cycle cancellations retain access through the paid term but are not eligible for prorated refunds.

6. Promotions, Trials, and Discounts

  • Discretionary Offers: Free trials or promotions are discretionary and may be modified or withdrawn at any time per offer terms.
  • No Retroactive Adjustments: New promotional pricing does not entitle existing subscribers to credits or refunds.

7. Refund Exceptions

  • Billing Errors Only: Refunds may be considered solely for verified duplicate payments or clear billing errors caused by Logistware.
  • Sole Discretion: Any credit or exception is at Logistware’s sole discretion and does not create a precedent.

8. No Warranties; Limitation of Liability

  • Services are provided without express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee business results, profitability, or specific outcomes.
  • Liability Cap: Logistware’s total liability is limited to fees you paid in the three (3) months preceding the event giving rise to the claim.

9. Chargebacks and Disputes

  • No Unauthorized Chargebacks: You agree not to initiate chargebacks for authorized payments. Doing so may result in immediate suspension or termination.
  • Cost Recovery: You agree to reimburse disputed amounts and associated fees, including administrative, collection, and reasonable legal costs.

10. Governing Law & Dispute Resolution

This Policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
All disputes shall be resolved by final and binding arbitration in Toronto, Ontario, under the Arbitration Act, 1991 (Ontario).
Class or collective proceedings are waived.
