Logistware Return & Refund PolicyThis Return & Refund Policy (“Policy”) governs all payments, subscriptions, and fees for the Logistware platform. By registering for or using Logistware Inc. (“Logistware,” “we,” “our,” or “us”), you (“User”) agree to be bound by this Policy in full.
Nature of the Digital Service
Logistware Inc. provides a digital venue (a “Load Board”) that facilitates information exchange between Shippers, Brokers, and Carriers.
- Access vs. Outcome: Your payment is for a subscription to access the platform’s tools and data. Logistware Inc. does not sell freight, and we do not guarantee the availability, volume, or quality of shipments or carriers in any specific geographic area.
- Market Fluidity: Market activity is driven by independent third parties. The absence of a specific shipment type or “load volume” in a User’s area does not constitute a failure of service and is not grounds for a refund.
Strict “No Refund” Policy
- Immediate Delivery: Because our service is digital and access is granted immediately upon payment, all fees (including monthly, quarterly, or annual subscriptions) are earned by Logistware Inc. at the moment of processing.
- No Results-Based Refunds: We do not offer refunds, credits, or prorated adjustments based on your inability to find a shipment, your dissatisfaction with the bids received, or your business’s overall performance.
- User Error: No refunds will be issued for accidental sign-ups, “forgotten” auto-renewals, or failure to use the platform after paying.
Membership Cancellations
- Self-Service Cancellation: Users may cancel their membership at any time through their Account Settings.
- Effect of Cancellation: Cancellation stops future billing cycles. It does not trigger a refund for the current billing period. You will retain access to the platform until the end of your current paid term.
- Responsibility: It is the User’s sole responsibility to cancel their subscription prior to the renewal date. Logistware Inc. is not responsible for charges incurred due to a User’s failure to manage their account settings.
Chargebacks and “Friendly Fraud”
Logistware Inc. has a zero-tolerance policy regarding unauthorized chargebacks.
- Agreement to Resolve Directly: You agree to contact customerservice@logistware.ca to resolve any billing discrepancies before contacting your bank.
- Indemnification for Disputes: If you initiate a chargeback for a valid charge, you agree to reimburse Logistware Inc. for the full amount of the chargeback plus a $150.00 CAD administrative fee and any legal or collection costs incurred in defending the dispute.
- Evidence Submission: In the event of a chargeback, Logistware Inc. will submit your login logs, IP address, and these signed Terms as evidence that the service was accessed and delivered.
Service Availability and Maintenance
The Platform is provided on an “as is” and “as available” basis. While we aim for 99% uptime, periodic maintenance or technical outages may occur. Such interruptions do not entitle the User to a refund, credit, or extension of their subscription term.
Limitation of Liability
Logistware Inc.’s total liability for any billing-related claim is strictly limited to the amount of the last single monthly subscription fee paid by the User. We are not liable for any lost profits, lost opportunities, or consequential damages resulting from your use of (or inability to use) the Platform.
Governing Law
This Policy is governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute arising from this Policy shall be resolved via binding arbitration in Toronto, Ontario.
